These Terms and Conditions ("Agreement") set out the terms under which we will provide our graphic design services to you, the Client. By commissioning us for any design work, you agree to be bound by the following terms, which outline our mutual rights and responsibilities throughout the course of our professional relationship.

Our goal is to ensure that your experience with us is seamless and that our collaboration results in designs that exceed your expectations. This Agreement is designed to protect both parties and provide clarity on the scope of work, timelines, payment terms, and other important aspects of our business relationship.

1. Introduction

These Terms and Conditions ("Agreement") govern the provision of graphic design services by Wonderdog, a graphic design company registered at 4th Floor, Silverstream House, 45 Fitzroy Street, Fitzrovia, London W1T 6EB ("we," "our," or "us") to you ("Client" or "you"). By engaging our services, you agree to be bound by the terms outlined in this Agreement.

2. Services Provided

We provide a range of graphic design services, including but not limited to logo design, brand identity design, print materials, digital design, and other creative services ("Services"). A detailed description of the services to be provided will be agreed upon in writing or via email before the commencement of any work.

3. Agreement and Scope of Work

3.1. All Services will be outlined in a specific project brief or proposal, which will detail the scope, deadlines, deliverables, and any other relevant terms ("Project").
3.2. Any changes to the scope of work once the Project has begun must be agreed upon in writing and may result in additional fees.

4. Fees and Payment Terms

4.1. Fees for the Services will be quoted in advance based on the scope of the Project.
4.2. A deposit of [typically 30%-50%] is required before work begins, with the remaining balance due upon final delivery of the completed Project.
4.3. Payments should be made within 7 days of receipt of invoice unless otherwise agreed.
4.4. Late payments may incur a 8% penalty for each week payment is overdue.
4.5. All payments are non-refundable once work has commenced, unless otherwise agreed in writing.

5. Project Delivery and Timelines

5.1. We will provide an estimated timeline for each Project based on the scope and requirements.
5.2. Any delays caused by the Client, such as late feedback, non-delivery of requested materials, or other reasons outside our control, may result in project delays and additional fees.

6. Client Responsibilities

6.1. The Client agrees to provide all necessary information, materials, and feedback in a timely manner to facilitate the completion of the Project.
6.2. The Client is responsible for ensuring all content provided (such as text, logos, images, etc.) is free of third-party rights and that they have the appropriate permissions to use such materials.

7. Intellectual Property Rights

7.1. All creative works produced as part of the Project are initially owned by us, but upon receipt of full payment, the Client will be granted an exclusive, non-transferable license to use the final deliverables for the purposes outlined in the Project brief.
7.2. We retain the right to showcase the finished designs in our portfolio or promotional materials unless otherwise agreed in writing.
7.3. The Client agrees not to modify, alter, or reproduce any deliverables beyond the scope of the usage rights granted.

8. Revisions

8.1. A specific number of revisions will be included in the Project scope, as agreed upon in the initial brief.
8.2. Any revisions requested beyond the agreed number may incur additional charges.
8.3. Revisions should be clearly communicated, and major changes to the Project scope may result in additional fees and timelines.

9. Confidentiality

9.1. We agree to maintain confidentiality regarding any proprietary or confidential information shared by the Client in the course of the Project.
9.2. The Client agrees to maintain confidentiality regarding any non-public information provided by us, including but not limited to designs, pricing, and business practices.

10. Limitation of Liability

10.1. We will make reasonable efforts to deliver the agreed Services to the highest standard. However, our liability is limited to the amount paid by the Client for the specific Project.
10.2. We are not liable for any indirect, consequential, or incidental damages arising from the use of the designs provided.

11. Termination

11.1. Either party may terminate this Agreement with written notice if the other party breaches any material term of this Agreement.
11.2. If the Client terminates the Project after work has begun, the Client will be required to pay for all work completed up to the point of termination.
11.3. In the event of termination, any outstanding fees will remain due and payable.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

13. Dispute Resolution

Any disputes arising from this Agreement will first be addressed through informal negotiations between the parties. If a resolution cannot be reached, disputes will be resolved through mediation or, if necessary, through the courts of England and Wales.

14. Force Majeure

Neither party will be held liable for failure to perform their obligations under this Agreement due to causes beyond their reasonable control, such as natural disasters, strikes, or other unforeseen events.

15. Miscellaneous

15.1. If any provision of this Agreement is deemed invalid or unenforceable, the remainder of the Agreement will continue in full force.
15.2. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings.
